CODE OF CONDUCT

Scope and Applicable Subjects

This Code applies to all members of the Board of Directors, the Board of Management, other managers (“Managers”), and all employees (“Employees”) of Vincom Retail and its subsidiaries, regardless of rank or position.

The Company expects suppliers, partners, and third parties working with us to respect and comply with the rules set out herein.

  • Respect and comply with agreed cooperation commitments.
  • Do not engage in corruption, bribery, or abuse of power.

For Shareholders and Investors

  • Provide truthful, accurate, and timely information.
  • Protect the legitimate rights and interests of shareholders and investors and treat all shareholders fairly.
  • Disclose information fully in accordance with legal regulations applicable to listed companies.

For Society

  • Maintain and fulfill the Company’s responsibilities to the environment and society, striving for a better life for all.

Towards the Company

  • Protect Company assets and use them only for assigned work purposes.
  • Do not use Company assets for personal or illegal purposes.
  • Comply with confidentiality policies regarding Company information accessed or known, and do not disclose or use confidential information for personal purposes or for third parties without the Company’s consent.
  • Avoid situations where personal interests may affect the Company’s operations and promptly report any conflicts of interest to management or relevant departments.
  • Do not exploit or abuse one’s position for actions that are not in the Company’s best interests.
  • Do not consume alcohol, use alcoholic beverages, stimulants, drugs, or other prohibited substances in the workplace.
  • Comply with labor regulations and internal rules.

Towards Colleagues

  • Respect and treat colleagues fairly.
  • Do not engage in any form of discrimination based on gender, age, appearance, education, professional qualifications, marital status, ethnicity, religion, skin color, or race.
  • Communicate and interact with colleagues in an open, cooperative, sincere, and straightforward manner.
  • Do not incite, encourage, or support colleagues to commit unethical or illegal acts.

Towards Customers, Shoppers, Partners, Suppliers, Shareholders, and Investors

  • Strictly comply with the Company’s anti-corruption and anti-bribery regulations in all relationships.
  • Comply with Company regulations on dress code, demeanor, communication, and conduct when interacting with relevant parties.

Towards Society

  • Comply with the law both within the Company and in society.
  1. Reporting Violations

Vincom Retail encourages everyone to uphold compliance with this Code and report any violations they observe. Reporting is conducted in accordance with the Company’s whistleblower protection policy, and whistleblowers will be protected by the Company.
